These Terms of Service ("Terms") govern your access to and use of EMG ClientIQ (the "Service"), operated by Ervan Management Group LLC ("EMG," "we," "us"). By creating an account or using the Service, you agree to these Terms.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Services

EMG ClientIQ provides:

• Customer relationship management (CRM)
• Lead management and import
• Job scheduling and field service tools
• A client portal with secure magic links
• Payment links and invoice processing through Stripe
• Automated reminders and notifications

3. User Responsibilities

You are responsible for: (a) maintaining the confidentiality of your account credentials; (b) all activity that occurs under your account; (c) the accuracy and legality of data you upload; and (d) obtaining necessary consents from your own clients before storing their personal information in the Service.

4. Subscription Plans

• Starter — $0/month (limited features)
• Professional — $19/month
• Enterprise — $49/month

5. Billing and Renewal

Paid subscriptions are billed monthly through Stripe and automatically renew at the end of each billing period until canceled. You may cancel at any time from your account settings; your access continues through the end of the current paid period.

6. Refund Policy

Refunds are governed by our Refund Policy.

7. Acceptable Use

You agree not to:

• Use the Service for unlawful, abusive, or fraudulent purposes.
• Send unsolicited communications or violate anti-spam laws.
• Attempt to disrupt, reverse engineer, or gain unauthorized access to the Service.
• Upload malicious code or content that infringes third-party rights.

8. Intellectual Property

EMG ClientIQ, its design, branding, software, and related content are owned by Ervan Management Group LLC and protected by applicable intellectual property laws. You retain ownership of data you upload but grant us a limited license to host and process it solely to provide the Service.

9. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied. We do not guarantee any specific business outcome, revenue, or result from using EMG ClientIQ.

10. Limitation of Liability

To the maximum extent permitted by law, Ervan Management Group LLC and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or related to your use of the Service. Our total aggregate liability will not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Ervan Management Group LLC from any claims, damages, or expenses arising out of (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any third-party rights.

12. Termination

We may suspend or terminate your account if you violate these Terms or use the Service in a way that risks harm to EMG or other users. You may close your account at any time.

13. Governing Law

These Terms are governed by the laws of the State of Illinois, United States, without regard to its conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Illinois.
